Terms of Service
These terms outline the contractual framework for DeltaNET services. The full legal text will be provided in coordination with our legal counsel.
Scope of Service
These Terms of Service ("Terms") govern the provision of internet access, hosting, cloud, VoIP, managed security, and e-commerce services (the "Services") by DTU DELTA-NET 2023 DOOEL ("DeltaNET", "we", "us") to any customer who orders, activates, or uses the Services ("Customer", "you"). By signing an order form, activating a Service, or using deltanet.com.mk, you accept these Terms in full. Where a signed written contract or order form exists between DeltaNET and the Customer, its specific commercial terms take precedence over these Terms in case of conflict.
Definitions
“Services” means any product or service ordered from DeltaNET, including internet access, colocation, hosting, VPS/cloud compute, VoIP, managed endpoint security, and goods purchased through the online shop. “Order” means a signed contract, order form, or online checkout confirming the Services and applicable fees. “Business Day” means Monday to Friday, excluding public holidays in North Macedonia.
Billing and Payment
Recurring Services are invoiced in advance according to the billing cycle stated in the Order (monthly, annually, or as otherwise agreed). One-time services (installation, hardware, shop purchases) are invoiced on delivery or as stated at checkout. Invoices are due within 15 days of the invoice date unless a different payment term is agreed in writing. Late payment may result in a service suspension notice after 10 days past due, followed by suspension of the affected Service if payment is not received within a further 5 days. Reconnection after suspension for non-payment may be subject to a reconnection fee. All prices are stated in the currency shown on the invoice and exclude VAT unless stated otherwise.
Acceptable Use
Customers must comply with DeltaNET's Acceptable Use Policy at all times. Prohibited uses include illegal activity, transmission of malware, unsolicited bulk email, network abuse, and infringement of third-party rights. DeltaNET may suspend or terminate a Service immediately, without prior notice, where necessary to protect the integrity or security of its network or the rights of third parties.
Service Availability
Service availability targets, scheduled maintenance windows, and service credits are set out in DeltaNET's Service Level Agreement (SLA). Scheduled maintenance is communicated at least 48 hours in advance where reasonably possible; emergency maintenance to address security or stability risks may be performed without prior notice.
Term, Suspension and Termination
Unless otherwise agreed in an Order, Services renew automatically for successive periods matching the original billing cycle unless either party gives at least 30 days' written notice of non-renewal before the end of the then-current term. Either party may terminate immediately for the other party's material breach that remains uncured 15 days after written notice. DeltaNET may suspend or terminate a Service immediately for non-payment, breach of the Acceptable Use Policy, or where continued provision would expose DeltaNET to legal liability. Upon termination, Customer remains liable for fees accrued up to the termination date, and DeltaNET is not obliged to retain Customer data beyond the period stated in the Privacy Policy.
Limitation of Liability
To the maximum extent permitted by applicable law, DeltaNET's total liability arising out of or in connection with the Services in any 12-month period is limited to the fees paid by the Customer for the affected Service during that period. DeltaNET is not liable for indirect, incidental, or consequential damages, including loss of profit, business, or data, except where such exclusion is not permitted by mandatory law applicable to consumers. Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded or limited.
Intellectual Property
All software, documentation, trademarks, and content provided by DeltaNET remain the property of DeltaNET or its licensors. Customers are granted a limited, non-exclusive, non-transferable right to use such materials solely to receive the Services during the term of the contract. Content and data uploaded by the Customer remain the Customer's property; DeltaNET processes it only as necessary to provide the Services and in accordance with the Privacy Policy.
Governing Law and Disputes
These Terms are governed by the laws of the Republic of North Macedonia. Any dispute shall be submitted to the competent court in North Macedonia, without prejudice to any mandatory consumer-protection rights that a Customer resident in the European Union may have under the law of their country of residence, which these Terms do not affect or restrict.
Changes to these Terms
DeltaNET may update these Terms from time to time. Material changes affecting active Customers will be notified by email or through the customer portal at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
